Scripbox is preparing for an initial public offering with conversion to a public limited company
Scripbox prepares for an IPO with its conversion into a public limited company.

SUMMARY

Scripbox is a Bengaluru-based wealthtech platform. Scripbox has officially registered for a public listing following the approval of the board to convert the company into a public company. It’s a major legal milestone that helps pave the way to start an initial public offering on the Indian equity market. The latest regulatory disclosure reveals that the company’s board voted to change the name of the entity from Scripbox Wealth Managers Private Limited to Scripbox Wealth Managers Limited. The move highlights the firm’s efforts to meet the requirements for public listing and establish the governance structure needed for such an offering.

IPO structure and expansion through acquisitions

According to the official disclosures, this initial public offering includes a new and additional public offer of equity shares as well as an offer for sale by some existing shareholders. The dual structure will enable the company to access a primary capital source to fund ongoing operations and offer liquidity for early investors.

Scripbox is a joint venture digital wealth management firm founded in 2012 by Atul Shinghal and Sanjiv Singhal, which offers a wide range of financial products through its integrated digital platform. It offers fixed deposits, mutual funds, US stocks, exchange-traded funds, and the National Pension System, and a financial planning and advisory suite for both retail and high-net-worth investors.

This corporate milestone comes after strategic capital activities earlier in the year. Scripbox had been reporting for nearly six months that it would raise a maximum of ₹170 crore through a mix of equity and debt instruments exclusively to Entrackr. In that campaign plan, the board had agreed to raise a total of ₹60 crore from a selected class of investors through equity shares, preference shares, and convertible instruments.

The company obtained approval from the board of directors for new borrowings under its long-term borrowing plan of up to ₹110 crore from commercial banks, non-banking financial companies, and other institutional borrowers to shore up its balance sheet. Along with raising funds, Scripbox has actively looked into inorganic growth to expand its distribution network and assets under management.

The company acquired the distribution business of Bluechip Capital, a well-established wealth management firm led and founded by Ravi Kohli of Delhi-NCR, in June of this year. The merger led to the complete integration of Bluechip Capital’s existing clients and staff into the Scripbox platform, bolstering the expansion of the company’s operations and wealth advisor footprint in northern India.

Operational background and strong capital support

Scripbox has raised over $70 million in total funds, including both corporate and private equity, throughout its operational life. The launch itself is also backed by leading VC firms and institutional investors such as Accel, Let’s Venture and DMI.

This robust capital support has allowed the platform to fund technology, user acquisition, and strategic distribution partnerships throughout the wealth management ecosystem.

Scripbox is a company that experienced a major milestone in terms of profitability in FY25, which is significant from a financial perspective. The company delivered a net earnings figure of ₹12.7 crore in FY25, meanwhile comping with previous operating losses.

In the same quarter, its top-line growth was robust, with operating revenue increasing by 27% year-on-year to ₹107.2 crore in the current fiscal year. The company has not announced its official financial results for FY26 yet, but the fact that it turned profitable in FY25 gives it a good financial starting point as they prepare for the public market.

Conclusion

The transformation of Scripbox Wealth Managers Private Limited to a public limited company is a significant milestone in its corporate evolution as part of its path towards an initial public offering. Scripbox’s journey from non-profitable losses to profitability, with institutional investors giving sharp aid of around ₹70 million, is setting the stage for long-term growth. The public transition represents activity and maturing capital structures within India’s digital wealth management and financial services sector and is being highlighted by the company as it explains its proposed fresh issue and offer for sale.
